2. Scope

These Terms and Conditions apply to all services, offers, agreements, and business relationships between SC Web Magic Ennovates SRL and its clients, unless otherwise agreed in writing.

3. Services

SC Web Magic Ennovates SRL provides digital services, including but not limited to:

• WordPress website development
• Website customization and maintenance
• Bug fixing and troubleshooting
• WooCommerce development
• Plugin customization and development
• Design implementation
• Performance optimization
• Consulting and technical support

The exact scope of services is defined in the respective offer, proposal, project agreement, or written communication with the client.

4. Conclusion of Contract

A contract is formed when the client accepts an offer issued by SC Web Magic Ennovates SRL, confirms a project in writing, places an order, or otherwise instructs SC Web Magic Ennovates SRL to begin work.

Offers are non-binding unless explicitly stated otherwise.

5. Prices and Payment

All prices are stated in the respective offer, invoice, or project agreement.

Unless otherwise agreed:

• Invoices are payable within the payment period stated on the invoice.
• Work may begin only after receipt of any agreed upfront payment or deposit.
• Additional work outside the agreed scope may be charged separately.
• Recurring services such as maintenance or care plans are billed according to the agreed billing cycle.

If payment is overdue, SC Web Magic Ennovates SRL reserves the right to pause ongoing work, withhold delivery, suspend support, or terminate the agreement after prior notice, where legally permitted.

6. Client Obligations

The client agrees to provide all information, access credentials, content, approvals, and materials necessary for the execution of the project in a timely manner.

The client is responsible for ensuring that:

• all provided content is lawful and does not infringe third-party rights;
• required licenses for themes, plugins, images, fonts, videos, or other third-party assets are valid;
• login credentials and access permissions provided are correct and functional.

Delays caused by missing cooperation, missing materials, or delayed feedback from the client may lead to project delays and may be billed if additional work arises.

7. Changes and Additional Work

Any changes requested by the client after project start may affect timelines and pricing.

Work not explicitly included in the original scope, offer, or agreement shall be treated as additional work and may be invoiced separately.

8. Delivery and Timelines

Delivery dates and timelines are estimates unless explicitly agreed as binding in writing.

SC Web Magic Ennovates SRL is not responsible for delays caused by:

• late client feedback or approvals;
• missing content or technical access;
• third-party providers, hosting companies, plugin authors, or platform outages;
• circumstances beyond reasonable control.

9. Acceptance of Work

Delivered work shall be deemed accepted if the client does not report material defects within a reasonable period after delivery, or if the client begins using the delivered work in production, publishes it, or otherwise approves it through conduct.

Minor deviations that do not materially affect usability or contractual functionality do not constitute defects.

10. Maintenance, Updates, and Support

Unless explicitly included in a maintenance agreement or care plan, website maintenance, plugin updates, monitoring, backups, security work, and ongoing support are not part of a one-time project delivery.

For recurring maintenance services, the exact scope, frequency, and limitations are defined in the applicable service agreement or plan description.

11. Third-Party Software and Services

Projects may involve third-party software, plugins, themes, APIs, hosting services, payment gateways, or external tools.

SC Web Magic Ennovates SRL is not responsible for defects, outages, pricing changes, licensing changes, compatibility issues, or discontinued functionality caused by third-party providers.

The client is responsible for purchasing and maintaining required third-party licenses unless otherwise agreed.

12. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in concepts, code, designs, custom solutions, documentation, and other work products remain with SC Web Magic Ennovates SRL until full payment has been received.

Upon full payment, the client receives a non-exclusive right to use the delivered work for the agreed purpose.

Unless explicitly agreed otherwise, SC Web Magic Ennovates SRL retains the right to reuse general know-how, code concepts, development approaches, and non-confidential elements.

13. Client Content and Rights

The client retains ownership of content provided by the client.

The client grants SC Web Magic Ennovates SRL the right to use such content solely for the purpose of performing the agreed services.

The client confirms that it has all necessary rights to any materials supplied for the project.

14. Liability

SC Web Magic Ennovates SRL shall be liable only for damages caused intentionally or by gross negligence, subject to applicable mandatory law.

To the extent permitted by law, liability for indirect damages, consequential damages, loss of profit, loss of data, business interruption, or damages resulting from third-party systems is excluded.

The client is responsible for maintaining appropriate backups unless backup services are explicitly part of the agreed services.

SC Web Magic Ennovates SRL is not liable for damages resulting from:

• client modifications after delivery;
• improper use of the website or deliverables;
• third-party plugins, themes, hosting environments, or software conflicts;
• security incidents caused by weak passwords, insecure hosting, or outdated third-party software not maintained under an active support agreement.

15. Warranty for Defects

If the delivered service contains a demonstrable defect directly caused by SC Web Magic Ennovates SRL, the client must notify SC Web Magic Ennovates SRL in writing without undue delay and provide a reasonable opportunity to remedy the issue.

No warranty applies to defects caused by third parties, later software updates, hosting changes, client interventions, or compatibility changes outside the control of SC Web Magic Ennovates SRL.

16. Confidentiality

Both parties agree to treat confidential business and technical information obtained during the collaboration as confidential and not to disclose it to unauthorized third parties, unless required by law.

17. Portfolio and Reference Use

Unless the client explicitly objects in writing, SC Web Magic Ennovates SRL may reference completed projects in its portfolio, case studies, or marketing materials using the client’s business name, website URL, screenshots, and a general description of the work performed.

18. Term and Termination

Project-based agreements end upon completion of the agreed services, unless terminated earlier for valid reason.

Recurring services remain in effect for the agreed term and may be terminated in accordance with the agreed notice period.

The right to terminate for cause remains unaffected.

19. Right of Withdrawal for Consumers

If the client is a consumer within the meaning of applicable consumer law and the contract is concluded at a distance, mandatory consumer withdrawal rights may apply.

If the client expressly requests that SC Web Magic Ennovates SRL begin the service before the withdrawal period expires, and acknowledges that the right of withdrawal may expire once the service has been fully performed, the statutory withdrawal rules shall apply accordingly.

20. No Obligation to Participate in Consumer Dispute Resolution

SC Web Magic Ennovates SRL is not willing and is not obliged to participate in dispute resolution proceedings before a consumer arbitration board, unless mandatory law requires otherwise.

21. Applicable Law and Jurisdiction

These Terms and Conditions are governed by the laws of Romania, excluding conflict-of-law rules, unless mandatory consumer protection law provides otherwise.

If the client is a business, legal entity under public law, or special fund under public law, the place of jurisdiction shall be the registered office of SC Web Magic Ennovates SRL, to the extent permitted by law.

22. Severability

If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
